Contract of Service Agreement

Project: 

Randiss agrees to produce project materials at the request of the client for fees agreed upon in advance and delivery of the work by an agreed-upon deadline.

Payment Terms: 

Client agrees to pay Randiss & Co. a _ % total of the  project cost before any services are provided and the remaining _ % is to be paid before the final files will be turned over.  
If the parameters of the work change, or if it involces more time than estimated, VA will inform the client and they can renegotiate the work's cost and the contract terms.
Randiss & Co. is responsible for the payment of all federal, state, and/or local taxes with respect to the services she performs for the client as an independent contractor. The Client will not treat the VA as an employee for any purpose.
The deliverables will be password protected until the final payment is confirmed.
The price of the deliverables are agreed-upon by Client and Randiss and is reflected in the invoice.

Revisions: 

Any project has 5 allowable major revisions plus the first working draft, and hence, Randiss will consistently inform the Client before the deduction on the number of major revisions.

QUANTITY DELIVERABLES DESCRIPTION

Five (5) major allowable revisions is more than enough especially that the cover brief is filled out in detail, each element that will be used (ex. stock images, etc.,) will be pre-approved by the Client before the creation & putting together will even start. Consolidating feedback into clear and concise rounds will help ensure everyone’s time is respected. If the project scope shifts dramatically

1.) A major revision is hereby defined as either of the following:

  • changing an art element to a completely new one
  • requiring photo manipulations and heavy editing
  • changing the whole artwork completely to a new one
  • going back to an old version the designer had sent
  • changing the font that is not available in the designer's font library
  • changing the font for more than 5 times
  • adding elements that aren't talked about beforehand
  • changing the dimensions of the whole art
  • any similar actions. 
2.) A minor revision is hereby defined as either of the following:
  • changing colors of certain elements
  • changing sizes of certain elements
  • changing the formation of certain elements
  • changing text alignment
  • changing font more than 5 times
  • moving a certain element to other parts of the artwork
Once the Client runs out of the allowable revisions, he/she has to pay $30 per hour. Time will be recorded via Toptal Tracker  application that automatically creates a timesheet recording working hours plus the screenshot of the device while the clock is running. These documents will be exported via PDF and hence will be attached to the invoice for the Client to see even before paying.

 

Confidentiality 

Randiss hereby acknowledges she may be involved in or become aware of information that relates to the client on a personal level including information related to the client's past, future, present, customer names, marketing plans, project information, and financial documents. Randiss agrees to protect all the above information and keep any information obtained confidential. She will also not accept & be allowed to have access on any financial accounts like

PayPal, Stripe, BrainTree & others. Randiss will be permitted to display final work on their website or in promotional materials only if Client agrees.

Client Approval 

The Client will be notified and must approve any and all materials prior to project finalization and submission. Furthermore, the Client will have permission to accept the work and request revisions if needed. Per Project Clients have unlimited revisions within a limited time: from the Project Start Date to the Project Deadline.

Guarantees

Randiss guarantees that she has old contracts as proof that she is a legitimate service provider, and may show to the Client/s and the Court when necessary. For assurance, she has consolidated her old clients' testimonials in this link: (insert testimonials link)

Termination 

Both parties understand that Client or Randiss may terminate the service at any time if, for any reason, the relationship is deemed unsatisfactory by either party. Upon written or verbal cancellation, Client is responsible for payment for all expenses incurred and any work done towards the completion of the project based on the percentage of the project completed that is determined by Randiss. Should the Client cancel the project following its completion, Client is responsible for full payment as per the agreed upon estimate plus all expenses incurred. In the event of cancellation, Randiss retains ownership of all copyrights and original work created.

Kill Fee 

If for instance the project has been terminated for whatever reason, the downpayment is non-refundable and will serve as the Designer's Kill Fee.

I, the undersigned client, hereby warrant that I am competent to contract in my own name. I confirm that I have read the herein agreement prior to its execution and I am fully familiar with the contents thereof. This agreement shall be binding upon me and my heirs, legal representatives, and assigns.
